1. About these Terms

These Terms of Service (“Terms”) govern your use of Samantha, including this website, the Samantha Terminal web app and the Samantha Telegram bot (together, the “Service”), operated by SKYWARD ORIGIN DEVELOPING SERVICE - FZCO, a company registered in Dubai Silicon Oasis, Dubai, United Arab Emirates (Registration No. 73283, Licence No. 75286) (“Skyward Origin”, “we”, “us”).

By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

2. The Service

Samantha is analytical software (SaaS) that provides market analysis, portfolio monitoring tools and calculations of mathematical market scenarios. The Service is for informational and educational purposes only and is not financial advice. Please read our Risk Disclosure.

3. Accounts

You can sign in with Telegram, Google or email. You must be at least 18 years old, provide accurate information and keep your account secure. You may not share access to your account with other people. You are responsible for all activity under your account.

4. Subscription, trial and payment

• Plans (PRO and ELITE) and their prices are shown on our website.
• New users receive a free 3-day trial, once per user. A payment method must be added to start the trial.
• If you do not cancel before the trial ends, the price of your selected plan is charged automatically, and then every month until you cancel.
• You can pay with Bybit Pay, bank cards, or cryptocurrency using supported wallets.
• You can cancel at any time in your account or by emailing us. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
• We will notify you at least 7 days before changes to prices or plans take effect.
• Refunds are described in our Refund Policy.

5. Acceptable use

You agree not to:

• use the Service for market manipulation;
• share your access with third parties;
• collect data from the Service by automated means (scraping);
• attempt to gain unauthorized access to our systems; or
• use the Service for any unlawful purpose.

6. Intellectual property

All rights in the Service, including its software, design, texts and brands (including “Skyward Origin” and “Samantha”), belong to Skyward Origin or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your personal use in accordance with these Terms.

7. No financial advice

All information and analysis provided by the Service is for informational and educational purposes. All investment and trading decisions are made independently by you, at your own risk. Samantha does not connect to your exchange accounts or wallets, does not hold or manage your funds and does not place trades on your behalf.

8. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranties of any kind. We do not guarantee that it will be uninterrupted or error-free, or that its data or analysis will be accurate, complete or timely.

9. Limitation of liability

To the maximum extent permitted by law, Skyward Origin is not liable for financial losses or decisions resulting from your use of the Service, for indirect or consequential damages, or for interruptions caused by third parties such as data providers or hosting providers. Our total liability for any claim relating to these Terms or the Service is limited to the amount you paid for the most recent billing period. Nothing in these Terms limits liability that cannot be limited by law.

10. Suspension and termination

We may suspend or end your access if you breach these Terms. You may stop using the Service at any time.

11. Changes

We may update these Terms. We will notify you of material changes through the Telegram bot, by email or on our website. Continued use of the Service after the changes take effect means that you accept the new Terms.

12. Governing law

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, and disputes are subject to the courts of Dubai, unless mandatory law in your country provides otherwise.
